We reserve the right to change this Agreement and to make changes to the Site at any time without notice or liability. By using the Site, you represent and warrant that you possess the legal right and ability to enter into this Agreement and agree to use the Site in accordance with all of the terms and conditions of this Agreement.

Authorized Access
You are granted a limited and non-transferable right to access the Site for your personal and non-commercial use only. Except as expressly provided for herein, you may not market, sell, or make use of the Site in a commercial manner or publish, display or distribute to any third party, any information contained on the Site. No other right or license is transferred to you in any manner, in or under any proprietary right of Alltel or any third party.

Registration
Your participation in many of the features available on this site requires that you register as a member of the site. You agree and represent that the information submitted in your registration is true and accurate. We reserve the right to approve or reject membership to this site.

Use
The Site may be used only for lawful purposes in accordance with the Agreement. Alltel reserves the right to suspend or terminate your use or access of the Site at any time if we determine you have Misused the Site.

Misuse
You agree that you will not Misuse the Site. "Misuse" includes, but is not limited to, using the Site to do any of the following:

a. Distribute, disseminate, post, or publish any information, material, data, text or image ("Content") that degrades, embarrasses, harasses, humiliates, intimidates, or threatens any individual or group of individuals on the basis of their age, ancestry, color, ethnicity, marital status, medical condition, mental or physical disability, national origin, race, sex, sexual orientation, union or nonunion affiliation, or any other basis protected by federal, state, or local law or ordinance.

b. Abuse, defame, harass, stalk, threaten, or otherwise violate others’ legal rights, including but not limited to rights of privacy and publicity.

c. Download or upload Content or files that may damage the operation of another’s computer, such as computer viruses, corrupt files, or similar software.

d. Download or upload Content or files that contain materials, including without limitation, software that violates the intellectual property, privacy, or publicity rights of others unless you own, control, or have been authorized to exercise such rights.

e. Misrepresent or omit the origin or source of any Content or file you download or upload.

f. Download or upload Content or files that do not contain the posted proprietary language, author attributions, and/or copyright, patent, or trademark notices.

g. Distribute, disseminate, post, or publish any indecent, infringing, obscene, or unlawful Content or files.

h. Engage in any commercial purpose including but not limited to: advertising or offering to sell any goods or services; conducting contests or surveys; distributing chain letters, or advertising with respect to any Ponzi scheme or pyramid scheme; or, advertising or offering to sell any business opportunities, direct sales opportunities, employment, independent contractor positions, multi-level marketing opportunities, or securities.

i. Post, send or otherwise disclose confidential information, trade secrets, or other confidential and/or protected proprietary data of any entity or person, including but not limited to Alltel or Alltel’s employees, officers, directors, or any of their affiliates.

j. Download or upload Content or files that you know, or reasonably should know, cannot be legally distributed through the Site.

k. Upload, download, or otherwise export or re-export software from the Site: (1) to a national or resident of or into any country the U.S. has embargoed, including without limitation, Cuba, Iran, Iraq, Libya, North Korea, Syria or Yugoslavia; (2) to anyone on the U.S. Treasury Department’s Specially Designated Nationals list, or (3) to anyone on the U.S. Commerce Department’s Table of Denial Orders.

l. Copy or create derivative works from, display, distribute, license, perform, publish, recreate, reproduce, sell, transfer, or transmit any Content, information, products, services or software obtained by, from or through the Site.

m. Monitor or copy any Content by using any manual process, or any robot, spider, or other automatic device, without first obtaining our prior written consent.

n. Take any action that will or could impose an unreasonable or disproportionately large load on our site infrastructure.

o. Access information about any other Alltel customer or Site user protected by Site log-in and post it on any other web site, with or without that person’s consent.

p. Utilize another Site user’s password or personal identification number during log-in.

q. Engage in any other conduct that is, or that Alltel deems to be, in conflict with this Agreement. Alltel does not permit such Misuses, and access of the Site for any such Misuses or other similar purposes is an unauthorized use of the Site.

Submissions
You agree that all Content, material and information you provide to Alltel, including without limitation, comments, drawings, original material, postings and ideas, are not the proprietary information of anyone, including you, and you hereby grant Alltel a nonexclusive, perpetual, transferable and royalty-free right to use, modify, publish, distribute, disseminate, publicize, and create derivative works from such Content, material and information without acknowledgment or compensation to you. You acknowledge that by submitting Content, material and information to Alltel, you waive any and all proprietary rights in such Content, material and information. By submitting Content, material and information to Alltel you represent and warrant that you own all of the rights in such Content, material and information and that the Content, material and information is accurate and does not violate any rights of any third party. Alltel reserves the right to change, delete, or modify any submitted Content, material or information on the Site at any time without notice. It is your obligation to verify, understand and evaluate the information contained on the Site regarding any offerings of products or services by Alltel or third parties. You understand that by using the Site, you may be exposed to Content that is offensive, indecent or objectionable. While we attempt to remove such objectionable Content, we are not obligated to monitor Content. In no event will Alltel be liable to you in any way related to your accessing or use of Content. Through your access of the Site, you will use networks or access information and other services that are not owned or controlled by Alltel. The Internet contains information and material that is not suitable for everyone and may be offensive to you. We strongly recommend that parents supervise and monitor their children’s use of the Internet. We are not responsible in any manner for the content or accuracy of information or services from sources that we do not control. We reserve the right to investigate your use that we believe may violate this Agreement or any applicable laws or regulations. We may access, use, and disclose information about your use of the Site and any Content, information or material submitted by you via the Site, to the extent permitted by law, in order to comply with the law; to enforce the Agreement; to bill and collect for our services provided; to protect our rights or to protect Site users from fraudulent, abusive, or unlawful use of the Site.

Loss of Content
Alltel shall not be liable for the deletion, destruction, modification or loss of any photos, videos or content you store on the Site. Alltel encourages you to store all photos or content on duplicate or back up electronic storage. Alltel does not warrant that any photos, videos or content will not be deleted, destroyed, modified or otherwise lost.

User Conduct (Hacking and Attacks)
Alltel has a "zero tolerance" policy regarding hacking and attacks. "Hacking" is any unauthorized attempt to monitor, access or modify computer system information or interference with normal system operations, whether this involves Alltel equipment or any computer system or network that is accessed through our Site or service. An "Attack" is any interference with Internet service to any Site user, host or network, including mail-bombing, ping flooding, broadcast attempts or any attempt to overload a system to interrupt access to the Site or services. The following are examples of activity that we consider indicative of Hacking or Attacks:

a. Satan or port scans, full, half, FIN or stealth. (packet sniffing)

b. SubSeven port probes.

c. BO scans or attacks.

d. Mail host relay use or hi-jacking.

e. Telnet, FTP, Rcommands, etc. to internal systems.

f. Attempts to access privileged or private TCP or UDP ports.

g. Multiple and frequent finger attempts.

h. User ID/Password cracking or guessing schemes.

i. Virus, worms and Trojan horse attacks.

j. Smurf, teardrop and land attacks.

It is your responsibility to implement and maintain up-to-date security procedures for your network or system to minimize Hacking, Attacks and other related activities. If you fail to do so, you may be responsible for the resulting consequences. Alltel is not responsible for your equipment, hardware, or software associated with your Internet access.

No Warranty by Alltel
The Content and information contained on this Site may contain inaccuracies and/or typographical errors. Alltel may alter, change or improve the Content and information at any time and without notice. Alltel may make available on the Site links to third-party development applications or websites; Alltel makes no representations or warranties as to such material and information for any purpose. Alltel makes no representations or warranties as to the completeness or accuracy of the Content and information on the Site, and makes no commitment to update the Content or information. Alltel makes no representations about the suitability of the Content or information for any purpose.

YOU USE THE SITE AT YOUR OWN RISK. THE CONTENT IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF EXPECTATION OF PRIVACY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT OR TITLE. Alltel neither warrants nor represents that your use of Content, information and material on the Site will not infringe upon the intellectual property rights of third parties. Indemnification by You
You shall indemnify, defend and hold harmless Alltel, its officers, director, employees and affiliates, from and against all losses resulting from any violation of this Agreement by you or your violation of the rights of any third party.

Alltel Trademarks
All trademarks, service marks, corporate names, logos, websites and domain names of Alltel (collectively "Marks") are and shall remain the exclusive property of Alltel and nothing contained herein shall grant you the license to use such Marks for any purpose. All other trademarks, service marks and product or service names and logos are that appear on the Site are the property of their respective owners.

Third Parties
Parties other than Alltel may offer and provide products and services through the Site. Alltel does not operate, control, or endorse any information, products, or services on the Site. All such information, products, and services offered through the Site or Internet generally are offered by third parties that are not affiliated with Alltel. Alltel does not monitor such offerings and Alltel does not warrant such offerings. Alltel is not responsible or liable for the actions, product, and content of any third parties and their websites. You acknowledge that any prospective or actual business relationship between you and a third party is the product of independent negotiations between you and that third party; and resulting agreement between you and the third party creates no agency, partnership, venture, or other business relationship, obligation or liability with respect to Alltel.

Use of Information You Provide to Alltel
Consistent with our privacy policy, we ask you to provide us certain information when you become a Site user or when you discuss your account with us. Alltel respects the privacy of its customers and users of the Site. Please refer to Alltel’s Privacy Policy for additional information.

Pass Code
For use of the Site, we may provide you with a pass code; this pass code is proprietary to and the property of Alltel. However, you must take precautions to ensure the security and confidentiality of your pass code. Alltel assumes no responsibility for and will not be liable in the event that another person learns your pass code or uses your pass code to cause damage to you. You agree to accept responsibility for activity that occurs under your pass code.

About These Terms and Conditions
You acknowledge and agree that Alltel will not maintain a paper copy of your Agreement and Alltel will maintain its copy of this Agreement on the Site. If you lose your copy of the Agreement, you may retrieve the then current electronic copy from the Site.

No Waiver; Severability
If we do not enforce any right or remedy available under this Agreement, that failure is not a waiver. If any part of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in force.

Third Parties
This Agreement is for the benefit of you and us only, and not any third party.

Applicable Law
This Agreement is subject to the laws of the state of Arkansas. The contents of this site are owned by Alltel and protected by copyright and the laws of the United States, its treaty countries and other jurisdictions. Any judicial proceeding brought with respect to the Agreement must be brought in a State or Federal Court of competent jurisdiction in Pulaski County, Arkansas.

Entire Agreement
This Agreement, including its terms and conditions and Alltel’s Privacy Policy is the entire Agreement between you and us, which may only be amended as described above. This Agreement supersedes any and all statements or promises made to you by any of our employees or agents.
